A Dubai-based virtual asset tokenisation company applying for VARA licences for Broker-Dealer Services and Category 1 Asset-Referenced Virtual Asset (ARVA) Issuance - seeking an experienced Independent Non-Executive Director (INED) to join our Board and support the company’s governance, regulatory oversight, and strategic development in accordance with VARA requirements.
Key Responsibilities
Provide independent oversight and constructive challenge to executive management.
Support the Board in maintaining strong corporate governance and regulatory compliance standards.
Oversee matters relating to:
compliance;
risk management;
financial crime controls;
internal controls; and
conflicts of interest.
Review business strategy, operational resilience, and risk appetite frameworks.
Participate in Board and committee meetings and contribute to key governance decisions.
Support oversight of VARA regulatory obligations and licensing requirements.
Promote high standards of integrity, transparency, and accountability across the organisation.
Monitor management performance and ensure decisions are aligned with the interests of clients, stakeholders, and regulatory expectations.
Requirements
Senior leadership or Board-level experience within:
financial services;
capital markets;
fintech;
banking;
regulated virtual asset businesses; or
related sectors.
Strong understanding of corporate governance, risk management, and regulatory oversight responsibilities.
Familiarity with UAE regulatory environments and virtual asset markets is preferred.
Ability to exercise independent judgment and provide objective challenge.
Strong reputation for integrity, professionalism, and ethical conduct.
Previous Non-Executive Director or Board Committee experience is advantageous.

Commitment
Quarterly Board meetings, plus ad hoc committee and governance meetings as required.
UAE-based or capable of regular attendance in Dubai preferred.
Reporting Line
Reports as an independent member of the Board of Directors.
